1. Validity of the terms and conditions and contract formation 1.1 These general terms and conditions regulate the formation, content and processing of contracts for the purchase of products from Hydroliq.
1.2 By submitting an offer to the distributor, Hydroliq accepts the present terms and conditions, provided that there are no deviations in the offer request.
1.3 The order is confirmed by Hydroliq. The contract is concluded as soon as the distributor receives the confirmation. If the confirmation is not received within a reasonable period of time, the distributor considers this as a rejection of the order and is entitled to conclude the contract with another supplier.
2. Prices 2.1 The prices are indicated in CHF or EUR. VAT and order handling are included. All prices are Ex Works. Any shipping costs will be charged extra.
2.2 Hydroliq reserves the right to change prices at any time. For customers, the prices signed in the distribution agreement are applied, provided Hydroliq does not adjust the prices.
3. Delivery conditions 3.1 If a delivery without a delivery date has been agreed and the delivery is not executed within 25 days, Hydroliq will be in default by a warning from the distributor. The latter can set a period of 30 days for subsequent fulfillment. If this is also not adhered to, the distributor can immediately forego the service and withdraw from the contract or claim damages for non-performance. The explicit consent of the distributor must be obtained for partial deliveries and advance deliveries. 4. Liability and warranty 4.1 For a period of 24 months, Hydroliq guarantees that the goods have the warranted properties, that they have no defects that impair their value or suitability for the intended use, and that they comply with the prescribed services and specifications.
4.2 The distributor must check the delivered goods as quickly as possible and report defects immediately. Hidden defects can still be reported after commissioning or use of the goods. The execution of payments does not constitute a waiver of notice of defects.
4.3 If there is a defect, the distributor has the option to request free of charge improvement, to make a deduction from the price corresponding to the lower value, to withdraw from the contract or to obtain a replacement delivery. The right of the distributor to claim damages remains reserved in all cases.
4.4 Claims of defects will only be accepted within 60 days after delivery. 5. Payment 5.1 50% of the payment is due at the time of the order and must be paid by the distributor within 5 days after receipt of the installment invoice. The other 50% of the invoice amount is due upon receipt of the goods and must be paid by the distributor within 5 days after receipt of the final invoice.
5.2 In the event of late payment, Hydroliq will send a maximum of two reminders. A fee of CHF 50.00 will be charged for the second reminder. If the distributor does not pay then, enforcement measures are initiated. In addition, late payment interest of 5% will be charged for late payment. Claims for damages remain reserved.
6. Legal application and place of jurisdiction 6.1 Changes and additions to these terms and conditions require a written agreement.
6.2 Swiss law applies to these terms and conditions, in particular the Swiss Code of Obligations.
6.3 The place of jurisdiction is the domicile of Hydroliq.
